On 1 April 2015, the Board of Management of the A.I.B. Foundation resolved:

  • to adopt the A.I.B. Foundation Organisational, Management and Control Model complete with the associated Code of Ethics and Catalogue of Offences;
  • to confirm the current members of the Supervisory Board in office, appointing its President.

 

The Code of Ethics – which is the official document approved by the company’s directors covering all the rights, duties and responsibilities of the company towards its stakeholders – expresses the ethical and professional principles that the company aspires to, reminding all those who work for the achievement of corporate objectives of their obligation to abide by said principles.

The Supervisory Board (SB), established by Article 6 of the Legislative Decree231/01, is responsible for overseeing the implementation and observance of the Organizational and Control Model pursuant to Legislative Decree231/01, including the Code of Ethics.

Anyone who becomes aware, even through third parties, of illegal, unethical, or potentially illegal or unethical situations, is obliged to inform the Supervisory Board without delay; reports may be submitted in writing, orally or by email, and will be collected and stored by the Supervisory Board.

The Supervisory Board will act to protect informants against any form of retaliation, discrimination or penalty, also ensuring the confidentiality of the same, without prejudice to any legal obligations and protection of the rights of persons accused in error and/or bad faith. All reports will be verified promptly by the Supervisory Board, which shall, in the event of a breach of the Code of Ethics, inform the Board of Management.
